Welcome to ProCueAI. These Terms of Service ("Terms") govern your access to and use of procueai.com and the ProCueAI application (the "Service"), operated by Theater of Oneness ("ProCueAI," "we," "us," or "our").

By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

This document is a starting template, not legal advice. Have it reviewed by a qualified attorney before publishing, particularly the liability, arbitration, and governing law sections, which vary significantly by jurisdiction.

1. Eligibility

You must be at least 13 years old (or the minimum age of digital consent in your country) to use the Service. If you are under 18, you confirm you have permission from a parent or legal guardian to use the Service.

2. Description of the Service

ProCueAI provides access to AI-generated conversational responses modeled after various professional personas (e.g., Financial Advisor, Software Engineer). The Service is offered in the following tiers:

  • Free: Chat mode with a limited number of messages within a rolling time window, supported by advertising.
  • Pro: Expanded chat access and access to Meeting Mode (multi-expert sessions with a limited number of follow-up questions).
  • MAX: Expanded Meeting Mode with more experts per session and a higher follow-up question allowance.

We may modify, add, or remove features, tiers, or usage limits at our discretion, with reasonable notice for material changes affecting paid subscribers.

3. Important Disclaimer About AI-Generated Content

ProCueAI's responses are generated by artificial intelligence and are for informational and educational purposes only.

  • Responses from any persona (including but not limited to Financial Advisor, Legal, Medical, or similar roles) do not constitute professional advice — financial, legal, medical, tax, or otherwise — and should not be relied upon as a substitute for consultation with a qualified, licensed professional.
  • AI-generated content may contain errors, inaccuracies, or outdated information. You are responsible for independently verifying any information before relying on it or acting upon it.
  • We are not liable for decisions made or actions taken based on content generated by the Service.

4. Accounts

  • You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
  • You agree to provide accurate information when creating your account and to keep it up to date.
  • We reserve the right to suspend or terminate accounts that violate these Terms.

5. Subscriptions, Billing, and Cancellation

5.1 Billing

  • Pro and MAX subscriptions are billed on a recurring basis (monthly, unless otherwise stated) through our payment processor, Stripe.
  • By subscribing, you authorize us to charge your chosen payment method automatically at the start of each billing cycle until you cancel.

5.2 Price Changes

We may change subscription pricing with advance notice. Continued use of a paid tier after a price change takes effect constitutes acceptance of the new price.

5.3 Cancellation

You may cancel your subscription at any time through the Service's billing portal. Cancellation takes effect at the end of your current billing period; you will retain access to paid features until then.

5.4 Refunds

Except where required by law, payments are generally non-refundable. We may, at our sole discretion, issue refunds on a case-by-case basis.

6. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable law or regulation
  • Attempt to circumvent usage limits, rate limits, or tier restrictions through technical means
  • Use the Service to generate content that is harmful, abusive, harassing, defamatory, or infringing on the rights of others
  • Attempt to reverse-engineer, scrape, or extract the underlying AI models, prompts, or system architecture powering the Service
  • Use automated means (bots, scripts) to access the Service outside of any officially provided API
  • Resell, sublicense, or redistribute access to the Service without our written permission

We reserve the right to suspend or terminate access for violations of this section.

7. Intellectual Property

  • The Service, including its design, branding, software, and underlying technology, is owned by ProCueAI/Theater of Oneness and protected by applicable intellectual property laws.
  • You retain ownership of the content you input into the Service (your prompts and questions).
  • You grant us a limited license to process your input as necessary to operate and improve the Service.
  • AI-generated output is provided for your use, but we make no representation as to its originality or freedom from third-party rights, given the nature of AI-generated content.

8. Third-Party Services

The Service relies on third-party providers, including AI model providers, Stripe (payments), Supabase (data storage), Vercel (hosting), and Google AdSense (advertising, Free tier only). Your use of the Service is also subject to the applicable terms of these providers where relevant.

9. Advertising (Free Tier)

Free-tier users will be shown third-party advertisements served via Google AdSense. We do not control the content of individual ads. Upgrading to a paid tier removes advertisements.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI-GENERATED CONTENT WILL BE ACCURATE OR RELIABLE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROCUEAI AND THEATER OF ONENESS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
